Foreign investors looking to establish a business in Saudi Arabia can now complete most of the process through a clear series of digital steps, starting with registration at وزارة الاستثمار (MISA) and ending with the licences needed to operate.
The first step is to confirm that the intended business activity is open to foreign investment and to identify any sector-specific approvals or Saudi-partner requirements. Investors must then register with وزارة الاستثمار before carrying out any investment activity, submitting an authenticated commercial registration for the foreign company, authenticated financial statements for the latest fiscal year, and any activity-specific documents. Premium Residency holders may be exempt from some of these requirements.
A registration fee shown in the application must be paid within 15 business days of notification, or the application becomes void. The fee is not a fixed publicly stated amount. Once MISA approval is granted, applicants open the company-incorporation service through the Saudi Business Center.
Choosing a legal form and costs
Investors then select a legal form. A limited liability company carries a commercial-registration fee of 1,200 ريال سعودي, a general or limited partnership 1,000 ريال سعودي, and a joint-stock or simplified joint-stock company 1,600 ريال سعودي. A publication fee of 500 ريال سعودي applies, with 15% VAT added to applicable service and publication fees.
Through the Saudi Business Center, applicants submit the Articles of Association, shareholder and manager details, business activity, capital information and registered address. All partners authenticate the incorporation contract electronically, using نفاذ where available. After the invoice is paid, the Commercial Registration is issued electronically and the contract is published.
Final steps include obtaining a national address, registering for tax and zakat with the Zakat, Tax and Customs Authority — VAT registration is mandatory when taxable supplies exceed 375,000 ريال سعودي and voluntary from 187,500 ريال سعودي — opening a corporate bank account, and securing municipal and regulatory licences through Balady or the relevant authority. Financial activities require Saudi Central Bank or Capital Market Authority approval where applicable.
