Foreign investors looking to set up a business in Saudi Arabia follow a clear, mostly electronic process that runs through the وزارة الاستثمار and the Ministry of Commerce. Understanding the steps in advance helps avoid delays and unexpected costs.

The first step is choosing a legal form — most commonly a limited liability company (LLC) — and confirming that the planned activity is open to 100% foreign ownership. Sectors such as banking, insurance, telecommunications, transport, media, defense, health care, education, and certain retail activities may require special approval, Saudi participation, or minimum capital.

Documents and licensing

Investors must prepare legalized corporate documents, including the parent company's commercial registration, articles of association, latest financial statements, a board resolution, a power of attorney, and the manager's passport. Papers issued abroad generally need notarization, apostille or consular legalization, Arabic translation, and Saudi authentication. The application for foreign-investor registration is then submitted electronically through the وزارة الاستثمار investor portal, identifying the activity, ownership, capital, managers, and a proposed Saudi address. Service charges appear on the approval invoice and vary by classification — there is no single universal price, and claims that all fees are permanently waived should not be relied on.

After approval, investors reserve the Arabic trade name and approve the articles of association via the Ministry of Commerce or Saudi Business Center. Commonly published LLC charges include SAR 1,200 for the commercial registration and SAR 500 for electronic publication of the articles, plus 15% VAT. The commercial registration is generally annual and must be renewed before expiry.

Remaining steps include registering with the relevant Chamber of Commerce, leasing a compliant office, obtaining a municipal license through Balady, and registering with the Zakat, Tax and Customs Authority. Charges for the chamber and municipal license vary by classification, premises, and location.

With the Kingdom pushing to attract investment under رؤية السعودية 2030, a clear understanding of these steps helps business owners enter the market smoothly.
