Branch vs Subsidiary vs LLC in Saudi Arabia 2026

Foreign companies planning to enter the Saudi market in 2026 face an early and important decision: whether to open a branch, establish a subsidiary, or set up a limited liability company (LLC). Each structure carries different requirements for ownership, capital, and compliance, and the right choice depends heavily on the activity and long-term plans.

A branch is a fully foreign-owned extension of the parent company. It operates under the parent's legal personality, has no separate share capital requirement, and needs a foreign investment license from وزارة الاستثمار plus a commercial registration. A subsidiary, by contrast, is a Saudi-incorporated company owned by the foreign parent, most commonly formed as an LLC. It has its own separate legal personality and is subject to the Saudi Companies Law in terms of capital, governance, and corporate compliance.

The LLC remains the most popular subsidiary form. Partners' liability is limited to their capital, governance is flexible, and full foreign ownership is possible in many activities, subject to licensing and capital rules. There is no statutory minimum capital for a branch, though an operating budget is required, while a standard foreign-owned LLC typically needs around SAR 500,000 in capital, with higher amounts for fully foreign-owned trading activities.

Licensing and registration costs

Both branches and foreign-owned LLCs need a foreign investment license before commercial registration. The standard application fee for general foreign service activities is around SAR 2,000, while certain trading and commercial categories fall into a higher bracket of about SAR 12,000. In 2026, many general-service licenses are discounted or waived for early-stage investors, though trading licenses retain higher fees.

Commercial registration is now handled through the Saudi Business Center and linked Ministry of Commerce systems. A unified invoice for LLC or subsidiary incorporation, covering trade name reservation, first-year CR, Chamber membership, and municipality elements, typically runs about SAR 1,825 to SAR 2,100, with 15% VAT applied to government service fees. Branch registration usually falls in the SAR 1,200 to SAR 1,600 band, with the electronic branch-opening request itself priced around SAR 1,600.

For the community of investors and business owners across الرياض and جدة, understanding these differences early can save time and cost when structuring an entry into the Kingdom.
