How Foreign Investors Open a Company in Saudi Arabia

Foreign investors looking to start a business in Saudi Arabia can now navigate the process largely online through the Kingdom's digital government platforms. The journey begins with obtaining a foreign-investor registration and ends with securing the licenses needed to operate.

The first step is to apply electronically through the وزارة الاستثمار (MISA) to obtain a valid investment registration certificate before incorporation. Required documents typically include the foreign company's legalized commercial registration, recent legalized financial statements, a partners' resolution, manager appointment, passports, a business plan, and any activity-specific preliminary approval.

Investors then reserve a trade name that complies with Saudi commercial-name rules and choose a legal form. Common options include a limited liability company, a joint-stock or simplified joint-stock company, a general or limited partnership, or a foreign-company branch. Incorporation is completed by submitting the articles of association, ownership details, capital, management information, registered address, and the valid MISA registration.

Fees and timelines

The commercial-registration fee is SAR 1,200 for a limited liability company, SAR 1,600 for a joint-stock or simplified joint-stock company, and SAR 1,000 for a general or limited partnership. A publication fee of SAR 500 applies, along with 15% VAT on applicable fees. The main commercial registration costs SAR 200, a branch registration SAR 100, and foreign-branch services SAR 600 for an LLC branch or SAR 400 for a partnership branch. Fees can vary, so investors should confirm the amount shown at payment.

Ordinary incorporation services are generally immediate, while incorporation under an investment license is listed with a delivery period of up to 72 hours. After incorporation, companies must open an establishment file with the Ministry of Human Resources and Social Development, register with the Zakat, Tax and Customs Authority and the General Organization for Social Insurance, subscribe to the national business address through Saudi Post, and join the relevant chamber of commerce. Activity licenses are then obtained from the relevant ministry or authority.
