Foreign Investor Guide: LLC vs Branch in Saudi Arabia

Foreign investors planning to enter the Saudi market generally choose between two main structures: a limited liability company (LLC) or a branch office of an existing foreign company. Both routes begin with investment registration from the Ministry of Investment and are completed through official electronic channels.

To set up an LLC, the investor reserves a trade name, prepares and authenticates the articles of association, and issues the Commercial Registration through the Saudi Business Center or the Ministry of Commerce. The incorporation fee is SAR 1,200, with a SAR 500 fee to publish the articles of association, while 15% VAT applies to applicable government service charges. The Ministry of Commerce currently lists SAR 1,200 for an LLC's annual confirmation, and registration is now unified nationally rather than split into separate regional sub-registers.

For a branch office, a foreign company must obtain investment registration and submit the parent company's approved resolution, constitutional documents, manager details, and activity information. The Saudi Business Center lists SAR 1,600 for opening a branch of a foreign company.

A key difference lies in liability. In an LLC, shareholders' liability is generally limited to their contributed capital, subject to statutory exceptions. In a branch, the foreign parent company remains responsible for the branch's obligations, as the branch is not treated as a separate Saudi legal person.

Approvals and official channels

Regulated activities such as banking, insurance, finance, telecommunications, healthcare, transport, and education require approval from the relevant regulator before or during registration. The Ministry of Investment determines the applicable investment-registration fee based on activity and investor category; no single universal fee is confirmed.

Investors can handle the process through Ministry of Investment investor services, the Saudi Business Center, the Ministry of Commerce, ZATCA for tax registration, قوى for employment services, and مقيم or أبشر for residency matters. Commercial Registration issuance is generally electronic and may be immediate after approval and payment, while Ministry of Investment and sector approvals can take longer.
