Foreign investors planning to do business in Saudi Arabia must first register with the وزارة الاستثمار (MISA) before engaging in any investment activity, then secure commercial registration and any sector-specific licenses from the relevant authorities. The framework reflects the current regulations governing non-Saudi investment in the Kingdom.
Registration applies to all foreign investors, with an exception for investments in listed securities, debt instruments, and investment funds that fall under the Capital Market Law. While the previous stand-alone foreign investment licensing system has been restructured to emphasize registration and sector permits, an investment license or MISA registration is still required to establish or acquire a foreign-owned entity.
When registration is mandatory
A MISA license or registration is required in cases such as setting up a new company with full or partial foreign ownership, opening a branch of a foreign company, or establishing a Regional Headquarters (RHQ) in الرياض. It also applies to investing in agriculture, industry, real estate development, mining, energy, technology, and consulting activities, as well as amending or renewing an existing license.
Core documents typically include the foreign parent company's commercial register and audited financial statements for the last fiscal year, both authenticated by the Saudi embassy, along with the entity's articles of association and bylaws. A business plan and proof of financial solvency may be requested, plus any sector-specific approvals. Identity documents are needed for GCC national partners not already registered in national e-services such as أبشر.
Holders of the Special Residency Permit (Premium Residency) are exempt from submitting the parent commercial register, identity document, and financial statement requirements. A foreign company joining a Saudi entity must be licensed in the same field in its home country, and some categories require at least three years of operating experience abroad. For residents and expat entrepreneurs, knowing these steps early can save time and avoid delays when launching a venture in the Kingdom.
