20 Hurdles Flagged Under Saudi Commercial Register Law

Saudi private-sector groups have identified 20 implementation obstacles linked to the Kingdom's new Commercial Register Law, which took effect on 3 April 2025. As of the third quarter of 2026, four of these obstacles had been resolved, 12 were under active resolution, and four remained under review.

The law introduced a major simplification for businesses. Companies now operate under a single commercial registration that covers all activities and branches across Saudi Arabia, removing the previous need for separate branch registrations. The registration also has no expiry date and is not renewed for a fixed term.

Annual confirmation and fees

Instead of renewal, registered data must be confirmed electronically every 12 months from the registration date. The annual confirmation may be submitted up to 30 days before its due date. Failure to confirm within 90 days after the deadline can suspend the registration and related services, and a suspension lasting one full year can lead to automatic cancellation unless the owner submits the confirmation, pays applicable fees and penalties, and requests reinstatement.

Licences for activities listed in the registration must generally be obtained within 90 days, unless the competent licensing authority grants additional time. Registration fees vary by entity type: SAR 500 for a sole proprietorship, SAR 1,000 for a general or limited partnership, SAR 1,200 for a limited-liability company, and SAR 1,600 for a joint-stock, simplified joint-stock, or foreign-company-branch. The annual data-confirmation fee matches the applicable registration fee, while updating commercial-registration data costs SAR 100.

Services are available through the Ministry of Commerce electronic services in Arabic and English, and are normally completed immediately. For the many residents and expats running businesses in Riyadh, Jeddah and beyond, understanding the confirmation timeline is key to avoiding suspension or cancellation.
