How Foreign Investors Open a Company in Saudi Arabia

Foreign investors looking to establish a business in Saudi Arabia follow a structured, mostly electronic process that begins with obtaining an investment license from the Ministry of Investment before completing company formation through the Ministry of Commerce.

The first step is securing a MISA investment license, whose application fee starts at SAR 2,000 under current guidance. Applicants typically need to submit a business plan, shareholder passports, parent-company registration documents, financial statements, a board resolution, and attested and translated papers for corporate shareholders. The chosen activity must match a permitted foreign-investment category and follow the ISIC 4 classification.

From Trade Name to Commercial Registration

Once approved, incorporation is completed online through the Saudi Business Center at business.sa. The usual sequence involves choosing the activity and legal form, reserving a trade name, preparing the Articles of Association in Arabic, notarizing documents through the Ministry of Justice notary channel, and then obtaining the Commercial Registration (CR) issued by the Ministry of Commerce.

After the CR is issued, companies complete a series of post-registration filings. These commonly include ZATCA for tax, VAT and Zakat, GOSI for social insurance, Qiwa for labor compliance, and Muqeem for expatriate administration. Businesses with a physical location also need municipality licensing, currently handled through the Balady digital route.

Bank account opening usually follows the issuance of the MISA license and CR, and setup guides note that banks and address registration generally require a physical office address. Overall, the full process is commonly described as taking about 6 to 12 weeks, depending on the activity, document readiness, and the speed of approvals.

The move matters for the Kingdom's growing community of investors and entrepreneurs, offering a clearer, digitally driven path to establishing a business in line with the country's wider economic goals.
