How Foreign Investors Open a Company in Saudi Arabia

Foreign investors looking to set up a company in Saudi Arabia follow a clear three-stage path: an investment license from the Ministry of Investment (MISA), a Commercial Registration (CR) from the Ministry of Commerce, and a set of post-registration filings. The process is handled electronically, making it accessible to companies planning to enter the Saudi market.

The journey begins with a MISA investment license for non-Saudi investors. The incorporation request is submitted through the Saudi Business Center, and applicants must hold a valid investment certificate for at least 30 days. Typical documents include the foreign parent company's commercial registration, articles of association, a board resolution, a power of attorney, shareholders' passports, and audited financial statements.

After MISA approval, investors draft and notarize the Articles of Association (AoA) and obtain the CR from the Ministry of Commerce — the legal registration that gives the company its formal identity in the Kingdom. Registering a verified business address and physical premises is commonly required to activate the CR and open a corporate bank account.

What comes after registration

Post-CR steps usually include registering with ZATCA for tax, joining the Chamber of Commerce, and enrolling in Qiwa for labor compliance, GOSI for social insurance, and Muqeem for expatriate management where relevant. Businesses operating from physical premises also need municipal licensing (Balady) approval.

In 2026, setup timelines are commonly described as 6–12 weeks for foreign-company formation, with MISA approval for complete applications often taking 2–4 working days in standard cases. MISA application fees commonly start at 2,000 ريال سعودي, while company registration fees typically range from 200 to 1,200 ريال سعودي depending on the entity type. Exact charges for every filing step are not fully fixed across the Kingdom, so investors should confirm current costs when applying.
