Foreign investors looking to set up a business in Saudi Arabia can now complete most of the process online, following a clear sequence of steps that begins with registration at the وزارة الاستثمار (MISA) and ends with tax and social insurance enrollment. The updated approach for 2026 replaces the former investment-license terminology with a simpler investor registration model.
The first step is confirming eligibility. Foreign ownership is permitted across most activities, though restricted sectors may require additional approvals or a Saudi partner. Investors must register with MISA before carrying out any investment activity, applying electronically through Invest Saudi. MISA sets the registration fee after approval, and applicants must pay within 15 business days of notification or the application becomes void.
Documents and setup
Typical documents include an authenticated foreign company commercial registration, the latest authenticated financial statements, partners' identity papers, and any activity-specific approvals. These generally need Saudi Embassy authentication and Arabic translation. Premium Residency holders are exempt from submitting the foreign commercial registration and financial statements.
Once MISA registration is confirmed, investors move to establish the company through the Ministry of Commerce / Saudi Business Center electronic service, submitting the Articles of Association without visiting a service center. The Ministry of Commerce lists SAR 200 for a main Commercial Registration and SAR 100 for a branch, with extra fees possible for the legal form, activities, trade name, publication, authentication, and translation.
After the Commercial Registration is issued, businesses complete Chamber of Commerce registration, apply for municipal licensing through Balady where required, obtain sector approvals, and finally register with the Zakat, Tax and Customs Authority for applicable tax obligations and with social insurance.
The streamlined path matters for the growing community of expat professionals and entrepreneurs across الرياض and جدة, offering a more predictable route to launching a business in line with رؤية السعودية 2030.
