Companies operating in Saudi Arabia face a series of regulatory changes affecting corporate governance, company registration, and ownership disclosure, with several key compliance deadlines falling due in 2026. The reforms build on the Companies Law that became fully operational in 2023.
Existing companies have until late 2026 to update their articles of association and governance structures under the transitional compliance period. The new law removes minimum capital requirements for limited liability companies, including foreign-invested LLCs, making formation and restructuring easier.
A new Commercial Registration Law took effect in April 2025, introducing a unified national commercial register and mandatory disclosure of ultimate beneficial owners. Under the accompanying rules, all companies must file beneficial ownership data through Ministry of Commerce electronic platforms before mid-2026, with stepped penalties for those that miss the deadline. Company registration, amendments, and data updates are now handled digitally, as legacy paper filings are largely phased out.
Tighter governance for listed companies
Governance reforms rolling out through 2026 raise the minimum share of independent board members for listed companies to at least one-third, up from one-fourth, with independent directors required to have no material relationship with the company. Listed firms must also separate the roles of Chairman and CEO, maintain audit and remuneration committees, and publish a governance report alongside their annual report.
By 2026, companies with more than 50 employees must have at least one female board member. Fines for governance violations by listed companies have risen to an upper limit of SAR 5,000,000. The new rules become mandatory for all listed companies from 1 January 2026 and for all joint-stock companies from 1 July 2026, with penalties escalating from 2027.
For residents and business owners, the changes mean clearer procedures, stronger shareholder rights, and greater transparency — but also a pressing need to review compliance well before the 2026 deadlines to avoid penalties.
