Setting Up a Foreign-Owned Company in Saudi 2026

Investors planning to launch a foreign-owned company in Saudi Arabia in 2026 follow a defined sequence of digital registrations covering investment licensing, commercial registration, tax, labor and municipal steps. Saudi Living outlines the process below for residents and international businesses looking to establish an entity in the Kingdom.

The first step is registering with the وزارة الاستثمار through its electronic portal before carrying out any foreign-owned investment activity. Applicants submit the investor's legal documents, parent-company papers where relevant, activity and ownership details, manager information, and authenticated Arabic translations. Some registration services carry no fee, while others depend on the service and activity, so investors should confirm the invoice in their establishment account before paying. The investment licence may be issued for up to five years, depending on the approved activity and licence terms.

Commercial Registration and taxes

Once وزارة الاستثمار approval is granted, the Saudi entity is established electronically through the Ministry of Commerce. For a limited liability company (LLC), the listed charges are 1,200 ريال سعودي for the Commercial Registration and 500 ريال سعودي in publication fees, plus 15% VAT, with the service generally completed immediately. Fees differ by company type — 1,600 ريال سعودي for a joint-stock or simplified joint-stock company, 1,200 ريال سعودي for an LLC, and 800 ريال سعودي for a simple or joint limited partnership.

After obtaining the Commercial Registration, the entity registers with the Zakat, Tax and Customs Authority through its portal, completes the tax questionnaire, and obtains a tax number. VAT registration is required when taxable annual supplies exceed 375,000 ريال سعودي, while voluntary registration is available above 187,500 ريال سعودي. The standard VAT rate is 15%, and registration stays active until cancelled, with periodic returns filed.

The process matters to the community because clearer digital steps make it easier for expats and international firms to invest under رؤية السعودية 2030. Investors should always verify the selected period and payable amount in each portal before payment.
