Foreign investors looking to enter the Saudi market face an early decision: which legal structure fits their plans. The three main options are a branch of a foreign company, a subsidiary (usually an LLC set up under an investment licence), and a local LLC owned only by Saudi shareholders.
A branch is an extension of the parent company and does not have a separate legal personality from it. To operate with full foreign ownership in permitted sectors, a branch needs an investment licence from وزارة الاستثمار. The capital requirement commonly cited for a standard foreign branch is 500,000 ريال سعودي, deposited in a Saudi bank account before or during licensing, depending on the activity.
Regardless of the structure chosen, the setup journey runs through several government channels. The investment licence is issued via وزارة الاستثمار, while the Commercial Registration and incorporation are handled through the Ministry of Commerce e-services and the Saudi Business Center, with the CR issued through ناجز. Labour matters and Saudization compliance go through قوى, municipal office licences through the Balady platform, and tax registration for VAT, corporate income tax, and withholding tax through the ZATCA portal.
After the entity is established, expat workforce management uses مقيم for iqama and exit/re-entry services, alongside أبشر for individual services. Digital identity layers such as نفاذ and توكلنا provide login and access across many of these platforms.
The fee picture has shifted recently. Under the 2026 وزارة الاستثمار regime, the government fee for many investor licences is currently waived or suspended, meaning many applicants pay nothing to the ministry for issuance during this period. Historically, this fee ranged roughly between 10,000 and 60,000 ريال سعودي.
For the community of residents and entrepreneurs weighing a Saudi presence, understanding these differences early can save time and cost as the Kingdom continues to streamline its business-setup systems.
