How Foreign Investors Open a Company in Saudi Arabia

Foreign investors planning to set up a business in Saudi Arabia must follow a defined electronic process that begins with an investment license from the وزارة الاستثمار and ends with an active Commercial Registration. In 2026, the typical end-to-end timeline runs between 6 and 12 weeks.

The first mandatory step is obtaining a MISA investment license from the وزارة الاستثمار before any commercial registration or company formation activity. Applications are filed electronically through the Invest Saudi portal and require legalized, attested corporate documents, including the parent company's commercial registration, memorandum and articles of association, a board resolution to invest in the Kingdom, a power of attorney for the local representative, audited financial statements, and passport copies of shareholders and directors. Standard license fees start from 2,000 ريال سعودي, with higher fees for certain activities. Complete applications are usually processed in 2 to 4 working days, and the investment certificate must have at least 30 days of validity remaining when used to establish the company.

From license to legal entity

After the license is issued, investors draft and notarize the Articles of Association, now typically done digitally through ناجز, a step that takes around 3 to 5 days. The company is then established via the Saudi Business Center / Ministry of Commerce platform, where partners, activities, purposes, management data, and the ISIC activity codes and trade name are specified. Once the contract is notarized on ناجز, the Commercial Registration is issued electronically and usually automatically, creating the Saudi legal entity.

Post-incorporation, companies must obtain Chamber of Commerce membership in their city, such as الرياض or جدة, and register a National Address through Saudi Post for a verified physical office. Virtual offices are generally not accepted, and a confirmed physical location is required to activate the CR and open a corporate bank account.

Understanding this sequence helps foreign investors plan realistic timelines and budgets, avoid delays, and start operating in the Kingdom with fewer surprises.
