Knauf Bids SAR 293M for United Mining Industries

German building-materials firm Knauf International GmbH has submitted an offer to acquire the remaining shares of Saudi-listed United Mining Industries (Tadawul code: 9583), in a deal valued at up to SAR 293,511,867. The Capital Market Authority approved publication of the offer document and its timetable on 21 September 2026.

Knauf is offering SAR 57 149,331 shares it does not already own. The company currently holds approximately 63.2% of United Mining Industries, following an earlier purchase of 8,850,669 shares at SAR 57 each for around SAR 504,488,133. If all remaining shares are accepted, Knauf's stake would rise to 100%, at an approximate total acquisition cost of about SAR 798 million.

Full acceptance of the offer may lead to the delisting of United Mining Industries from the Nomu Parallel Market. The acceptance period runs from 27 September to 4 November 2026, with share deposit and shareholder payment scheduled for 18 November 2026 and the expected announcement of completion on 19 November 2026.

What shareholders should know

Saudi shareholders who wish to accept the offer should follow the official offer document and submit their acceptance through their authorised Tadawul securities broker. This process is handled through the Capital Market Authority, Saudi Exchange (Tadawul) issuer announcements, and the shareholder's broker — not through Absher, Muqeem, Qiwa, Najiz, Nafath, or Tawakkalna.

No government service fee, visa fee, residency fee, or fixed validity period applies to accepting this share offer. Shareholders are advised to rely only on the official channels and the timetable set out in the offer document.
