Cenomi Centers Approves SAR426.6M Capital Increase

Shareholders of Cenomi Centers approved a capital increase of SAR 426,587,620 on 27 September 2026, funded entirely through the capitalization of retained earnings. The move raises the company's share capital from SAR 4,750,000,000 to SAR 5,176,587,620, an increase of about 8.98%.

Under the plan, the company will issue 42,658,762 new shares. Of these, 39,583,333 will be distributed as bonus shares to eligible shareholders at a rate of one bonus share for every 12 shares already held. A further 3,075,429 shares are allocated to the company's employee share program.

Eligible shareholders are those registered with the Securities Depository Center by the end of the second trading day following the entitlement date. Cenomi Centers is listed on the Saudi Exchange under the name Cenomi Centers, ticker 4321.

Why it matters

The bonus share distribution rewards existing shareholders without requiring any cash payment. There is no government fee and no procedure through Absher, Muqeem, Qiwa, Najiz, Nafath, Balady, Tawakkalna, or Etimad involved in receiving the shares — they are credited automatically to eligible accounts.

Capitalizing retained earnings instead of paying cash allows the company to strengthen its capital base while returning value to shareholders in the form of additional shares. For investors in the Kingdom, the step reflects continued activity among listed Saudi companies as they adjust their capital structures.
