German building-materials group Knauf International GmbH has launched an offer to acquire all the shares it does not already own in Saudi-listed United Mining Industries, in a deal that could total around SAR 293.5 million.
Knauf, which already holds 63.2% of the company, is offering SAR 57 149,331 shares. If every eligible shareholder tenders their stake, the maximum consideration would reach SAR 293,511,867. The company's shares carry a nominal value of SAR 10 each.
The Capital Market Authority approved publication of the offer document and timetable on 21 September 2026. The acceptance period runs from 27 September to 4 November 2026, with share deposit and payment scheduled for 18 November 2026 and the completion announcement expected the following day, 19 November 2026.
How the process works
Eligible shareholders who wish to accept the offer submit their acceptance and deposit their shares through their licensed Saudi broker or custodian using the Saudi Exchange securities infrastructure. Government service portals such as أبشر, مقيم, قوى, ناجز, and نفاذ are not used for this securities tender offer.
No separate government or portal fee is specified for accepting the offer, though standard brokerage or custody charges may apply under a shareholder's account agreement. Official documents and updates are issued through the Capital Market Authority, the Saudi Exchange, and United Mining Industries' investor-relations channels.
The move matters to investors and the wider market as it signals continued foreign interest in Saudi Arabia's industrial and mining sector, a priority area under national economic diversification plans.
