Foreign investors looking to set up a business in Saudi Arabia can now follow a clear, step-by-step path that begins with the Ministry of Investment and ends with tax, social insurance, and labor registrations. The process is designed to be fast, with company establishment under an investment license normally completed within 72 hours when all requirements are in place.
The first step is registering with the Ministry of Investment before carrying out any investment activity. There is no fixed published fee for this registration; any applicable charge is set during approval. Investors must submit ownership, financial, and activity documents, and update their declarations annually. Once the Ministry confirms registration, the investor can obtain a Commercial Registration and other required licenses.
Incorporation fees and steps
The company is then established through the Saudi Business Center or the Ministry of Commerce by choosing "Establishing a Company Under an Investment License" and entering the partners, company type, activities, address, and management details. The investment certificate must have at least 30 days' validity. Incorporation fees are SAR 1,200 for a limited liability company, SAR 1,000 for a general or limited partnership, and SAR 1,600 for a joint-stock or simplified joint-stock company, plus a SAR 500 publication fee and 15% VAT. An establishment Commercial Registration costs SAR 500 with immediate processing.
After incorporation, investors complete activity licenses with the competent authorities. Municipal activities generally require a Balady license, while other sectors may need approval from their regulators. Companies must also register with ZATCA for tax and zakat; VAT registration is mandatory when taxable annual supplies exceed SAR 375,000, with voluntary registration available from SAR 187,500 at the standard 15% rate.
Finally, businesses open an establishment file with the General Organization for Social Insurance to register eligible Saudi and non-Saudi employees, and register with the Ministry of Human Resources and Social Development, using Qiwa for employment matters. Following these steps helps investors launch quickly and stay compliant with local regulations.
