Businesses operating in Saudi Arabia can now manage most of their Commercial Registration (CR) and licensing requirements electronically, with many services delivered immediately. CR data can be renewed or confirmed through the Saudi Business Center or the Ministry of Commerce portal, using an account login or نفاذ.
Annual CR confirmation fees vary by legal form: SAR 1,600 for a joint-stock or simplified joint-stock company, SAR 1,200 for a limited liability company (LLC), and SAR 1,000 for a general or limited partnership. The CR must be active, and foreign companies must hold an investment registration certificate valid for at least 30 days.
Companies can renew their CR for a period ranging from one to five years. On the main register, renewal costs SAR 1,600 for a joint-stock or simplified joint-stock company, SAR 1,200 for an LLC, and SAR 800 for a simple or joint limited partnership. Sub-register fees are SAR 800, SAR 600, and SAR 400 respectively.
Incorporation and foreign investment
Setting up an LLC costs SAR 1,200 in CR fees plus a SAR 500 publication fee and 15% VAT, submitted through the Saudi Business Center. Foreign-invested companies pay SAR 1,600 for a joint-stock or simplified joint-stock company, SAR 1,200 for an LLC, or SAR 1,000 for a partnership, plus the publication fee and VAT, with a valid investment registration certificate required. Registering a foreign-company branch costs SAR 1,600 and is usually completed within one day.
After incorporation, businesses must obtain activity-specific licenses from the relevant authority. Regulated activities may require approval from the Saudi Central Bank, the Insurance Authority, the Capital Market Authority, a municipality, or another competent regulator. Commercial premises generally need a municipal license through Balady, with requirements varying by activity and location.
For tax, companies register with ZATCA where applicable. VAT registration is mandatory once annual taxable supplies exceed SAR 375,000 and voluntary from SAR 187,500, with 15% VAT collected and returns filed as required. A CR extract costs SAR 100, while a commercial certificate is free, with processing typically within 72 hours.
