Foreign Investors Must Notify MISA Before Ownership Transfers

Foreign investors operating in Saudi Arabia must notify the Ministry of Investment (وزارة الاستثمار) and the relevant authorities, including the Zakat, Tax and Customs Authority, before transferring ownership interests in their establishments. The requirement applies to investors who are already registered with the Ministry, as registration is a condition for conducting any investment activity in the Kingdom.

Ownership changes in restricted activities require prior approval from the Ministry, which then refers the application to the competent authority. The Ministry's ownership-modification service covers a range of cases, including share redistributions, the admission or withdrawal of partners, the replacement of heirs, and certain conversions or mergers. There is no Ministry service fee for this service.

Applicants must submit a partners' resolution approving the modification, authenticated by the Chamber of Commerce or by the Saudi embassy for partners located outside the Kingdom. A foreign participating company must also provide its commercial registration, authenticated by the Saudi embassy. Applications are filed electronically through the Ministry's services portal, while document authentication for foreign partners is requested through the relevant Saudi embassy or consulate.

Why it matters

After the Ministry updates the investment register, the establishment must amend its partners' resolution and update its commercial registration within 30 days. Failure to do so may allow the Ministry to restore the previous investment-register data. Registration also remains subject to activity-specific requirements and minimum capital or ownership conditions.

On the tax side, the Zakat, Tax and Customs Authority must be notified where a transaction creates a Saudi tax, Zakat, VAT, transfer-pricing, or real-estate-tax obligation; the exact filing depends on the transaction and the taxpayer's status. A transfer of real-estate ownership is subject to the Real Estate Transaction Tax at 5%, unless an exemption applies, and must be documented through the Authority's dedicated platform before the transfer is completed before a notary or authorized certification body.
