Foreign-owned companies, joint ventures and non-resident businesses operating in Saudi Arabia face a set of zakat and tax obligations that depend on ownership structure and activity. Understanding how these rules apply is essential for any company planning to register and operate in the Kingdom.
Corporate income tax is charged at 20% on the foreign ownership share in a Saudi resident company, on foreign-owned companies, and on non-residents conducting business through a Saudi permanent establishment or branch. Saudi and GCC ownership is generally subject to zakat at 2.5% of the calculated zakat base. In mixed-ownership joint ventures, income tax typically applies to the foreign-owned share while zakat applies to the Saudi and GCC-owned share.
Registration and deadlines
The process starts by completing commercial registration with the Ministry of Commerce, followed by electronic registration for zakat and/or income tax, which generates a taxpayer identification number. A zakat payer must register no later than the last day of its first fiscal year. The zakat declaration must be submitted and the amount due paid within 120 days after the end of the financial year; when the deadline falls on a holiday, it extends to the next working day.
For VAT, registration is generally mandatory when taxable supplies exceed SAR 375,000 over the previous or expected 12-month period, with voluntary registration available from SAR 187,500. The standard VAT rate is 15%, subject to exemptions and zero-rating, and returns are filed and paid electronically. VAT-registered businesses must also use compliant electronic invoicing.
Other obligations may apply: payments to non-residents can be subject to withholding tax at rates from 5% to 20%, and qualifying taxpayers must provide transfer-pricing information and submit the required disclosure form with their filing. For many foreign establishments, electronic income-tax and zakat registration are processed within one working day, making early and accurate compliance the key to operating smoothly in the Kingdom.
