Foreign investors looking to set up a business in Saudi Arabia can now navigate the full process online, starting with a foreign investment license from the وزارة الاستثمار (MISA) issued through the Invest Saudi portal, followed by incorporation and a Commercial Registration (CR) via the Ministry of Commerce.
The journey begins by classifying the intended business activity under the Saudi/ISIC system and choosing a legal entity type. The most common option for foreign investors is the Limited Liability Company (LLC), alongside joint stock companies and simplified joint stock companies, and — less commonly — general and limited partnerships. A valid MISA investment certificate is required, and it must remain valid for at least 30 days when applying for company establishment.
Fees and timing
Under the Saudi Business Center service for establishing a company under an investment license, Ministry of Commerce fees are SAR 1,600 for a joint stock or simplified joint stock company, SAR 1,200 for an LLC, and SAR 1,000 for a general or limited partnership, plus SAR 500 in publication fees. A 15% VAT applies to these amounts, and the service is delivered online within 72 hours.
On the licensing side, the annual MISA investment license fee is commonly cited at around SAR 62,000 with a separate application fee of around SAR 2,000 in some guidance. Standard applications are typically processed within 3–10 business days once documents are complete.
Several official platforms support the setup: ناجز for digital notarization of the Articles of Association, ZATCA for tax and VAT registration and e-invoicing, GOSI for social insurance, قوى for labor and Saudization services, and Saudi Post's National Address for the registered office. The streamlined, largely digital process reflects the Kingdom's push under رؤية السعودية 2030 to attract foreign capital and simplify doing business.
