Foreign investors looking to establish a business in Saudi Arabia can now navigate a largely digital process, with 100% foreign ownership permitted in most sectors once a license is obtained from وزارة الاستثمار. The two most common legal structures are a Limited Liability Company (LLC) or a branch of a foreign company.
The first step is defining exact business activities using the current activity classifications, then confirming whether the activity is open to full foreign ownership and whether any minimum capital or local partner conditions apply. A simple business plan and projected financials are required as part of the application.
Foreign parent companies must prepare and legalise a set of documents, including commercial registration, articles of association, a board resolution approving the investment, a power of attorney for the local signatory, audited financial statements for two to three years, and passport copies of shareholders and directors. All foreign documents must be notarised and legalised in the home country, authenticated by a Saudi embassy or consulate, and officially translated into Arabic by a certified translator inside the Kingdom.
Licensing and fees
Investor registration and the investment license are handled entirely online through the وزارة الاستثمار electronic portal. Applicants create an account, select their legal form and activities, upload the legalised documents and business plan, and define proposed capital, ownership percentages and office location.
The base license fee starts at 2,000 ريال سعودي while regulated or high-value sectors such as real estate development can reach around 60,000 ريال سعودي annually. Some activities in areas like healthcare, education and mining require additional ministry approvals. Standard applications are typically processed within two to seven working days when documentation is complete, while complex sectors may take several weeks.
Licenses are issued with multi-year validity and are renewable on payment of annual fees. Once licensed, investors move to trade name reservation through the Ministry of Commerce e-services portal. The streamlined, mostly online pathway reflects the Kingdom's push under رؤية السعودية 2030 to attract foreign capital and simplify doing business.
