Opening a Company in Saudi Arabia: Foreign Investor Steps

Foreign investors looking to set up a company in Saudi Arabia follow a clear two-stage process that begins with the Ministry of Investment and ends with a commercial registration issued electronically. Understanding the sequence — and the documents required at each step — can save weeks of delays.

The first step is obtaining an investment license from the Ministry of Investment through its official e-services portal. Applications are submitted online, with account creation using the National Single Sign-On for citizens and residents, and a dedicated registration path for foreign investors. The system first checks that the requested activity is not on the foreign investment negative list before allowing submission.

Corporate applicants must provide an authenticated commercial registration of the foreign parent company, its Articles of Association, audited financial statements for the last fiscal year, and identification for individual partners. Premium Residency holders are exempt from submitting a commercial registration and financial statements. The application must specify the exact economic activity, legal form (such as an LLC or joint stock company), capital, and ownership structure before it is reviewed and issued electronically.

Fees and formation

Statutory fees are paid electronically through SADAD using the designated government biller code. Published guidance shows an official application fee of around SAR 2,000 for many standard licenses, while some sectors carry higher annual bands reaching SAR 10,000–60,000. Recent professional guidance for 2025–2026 reports that some government license fees have been temporarily waived or reduced for certain formations, though other guides still list bands between roughly SAR 2,500 and SAR 8,000, so costs vary by activity and timing.

Once the license is in hand, the investor establishes the legal entity through the Ministry of Commerce using the Saudi Business Center online service. This requires a valid investment certificate with at least 30 days remaining and collects partners' data, activity description, management details, and Articles of Association. After the company contract is approved, the commercial registration is issued electronically — the final step to operating legally in the Kingdom.
