BinDawood Holding has completed the purchase of 1,000,000 ordinary shares earmarked for its long-term employee incentive program, in a transaction finalized in August 2026. The repurchased shares represent about 0.0875% of the company's total outstanding shares.
The total value of the acquired shares reached SAR 4,580,000, at an average price of SAR 4.5802 Each share carries a nominal value of SAR 1, and the company has roughly 1.14 billion shares outstanding.
The buyback was approved by the company's Extraordinary General Assembly on 17 June 2026, which authorized the board to complete the purchase within 18 months of that decision. The transaction was financed entirely through the company's own internal resources, with no external financing involved.
Why it matters
The repurchased shares are held as treasury stock and do not carry voting rights in shareholder meetings while classified as such. They are allocated to a long-term employee stock incentive plan designed to support staff retention and reward performance. The company may retain the shares for up to 10 years from the date of shareholder approval before distributing them to eligible employees.
Prior to this transaction, BinDawood already held 0.175% of its shares as treasury stock from an earlier buyback tied to the same program. That 2024 program involved 2,000,000 shares, or 0.175% of total shares, at a total value of SAR 14,985,400 and an average price of SAR 7.49 Official disclosures on the repurchase are published through the Saudi Exchange issuer announcements system and the company's investor relations channels.
