Foreign investors who receive an investment license from the وزارة الاستثمار can now complete their company incorporation and obtain a Commercial Registration (CR) entirely online, with issuance targeted within 72 hours of submitting a complete application. The process runs through the Ministry of Commerce and Saudi Business Center digital platform, with no paper documents required.

Before applying, the MISA investment certificate must have at least 30 days of validity remaining at the time of the incorporation request. The main steps for a foreign-owned limited liability company or similar entity include reserving a trade name, registering a national address, and uploading the Articles of Association along with company contract data.

Applicants then enter partner details, company activities and purposes, management data, and commercial register information through the online form, before submitting the request and paying fees electronically. Once approved, the digital CR is issued and can be downloaded directly.

Fees and validity

Under the 2026 schedule, the Ministry of Commerce service fee is 1,600 ريال سعودي for a joint-stock or simplified joint-stock company, 1,200 ريال سعودي for a limited liability company, and 1,000 ريال سعودي for a general or limited partnership. A publication fee of 500 ريال سعودي applies, and 15% VAT is added to service and publication fees. The CR is typically valid for one Gregorian year and must be renewed annually.

Several official channels support the post-approval phase. ناجز may be used for electronic notarization of the Articles of Association and partner resolutions. After the CR is issued, قوى handles labor and HR setup including employee contracts and GOSI integration, the ZATCA portal is used for tax and VAT registration, the Chamber of Commerce e-portal for mandatory membership, and Balady for a municipality license where premises are needed.

For the growing number of foreign entrepreneurs setting up in the Kingdom, the streamlined digital pathway shortens what was once a lengthy process, aligning with the goals of رؤية السعودية 2030 to attract international investment.
