The Saudi Investment Bank has agreed to sell its entire 50% stake in American Express Saudi Arabia to its joint-venture partner, Amex (Middle East) B.S.C.(c), in a cash-settled transaction valued at SAR 1,430.11 million (about USD 381.36 million).
Under the agreement, the consideration is payable at completion, along with certain additional deferred consideration linked to the shareholders' agreement between the two parties. The bank noted that the deal remains subject to the required regulatory approvals before it can be finalized.
the book value of the stake stood at SAR 638 million as of 30 November 2025. Based on that figure, it expects to record a gain of approximately SAR 792 million from the sale.
Why it matters
The transaction marks a significant move in the local payments and card-services sector, which serves a large share of residents and expats across the Kingdom. American Express Saudi Arabia is a well-established name in credit cards and payment solutions, and the change in ownership consolidates the stake under Amex Middle East.
For customers, day-to-day card services are expected to continue as usual while the deal awaits regulatory clearance. The sizeable gain also reflects the value that has been built in the joint venture since it was established, underlining continued investor interest in Saudi Arabia's financial services market.
